BaoBrain Terms of Service

1. Introduction

Welcome to BaoBrain (“BaoBrain,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of https://baobrain.com/(the “Site”) and related services (the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Definitions

• “Account” — a user account registered on BaoBrain.
• “User” / “You” — any person or entity who uses the Services.
• “User Data” — data, analytics, or content you upload, generate, or store via BaoBrain.
• “Third-Party Services” — non-BaoBrain APIs/platforms (e.g., Google Analytics, e-commerce platforms) integrated with BaoBrain.

3. Eligibility & Account Registration

3.1 Eligibility. You must be at least 18 years old and able to form a binding contract.

3.2 Account Creation. Some features require an Account. You agree to:

• Provide accurate, current, and complete information.
• Keep your credentials secure and notify us of unauthorized use.
• Remain responsible for all activity under your Account.

4. User Obligations & Conduct

4.1 Acceptable Use. You agree not to:

• Use the Services for unlawful or fraudulent purposes.
• Reverse-engineer, decompile, or tamper with code or APIs.
• Attempt unauthorized access to BaoBrain systems or data.
• Interfere with the integrity or performance of the Services.
• Upload viruses, malware, or malicious scripts.

4.2 Data Accuracy. You are responsible for the accuracy of any data or tracking scripts you install.

5. License Grant & Restrictions

5.1 License to Use. Subject to these Terms, BaoBrain grants a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes.

5.2 Restrictions. You may not copy, modify, distribute, create derivatives, sub-license, sell, rent, or remove proprietary notices from the Services.

6. Payment & Billing

6.1 Fees. Some features require payment. You agree to the pricing and billing terms on our Site or as otherwise communicated.

6.2 Billing & Renewal. Subscriptions auto-renew unless canceled before renewal.

6.3 Refunds. Unless stated otherwise, payments are non-refundable.

7. Privacy & Data

7.1 Privacy Policy. See our Privacy Policy for how we collect, use, and store personal and analytics data.

7.2 User Data Ownership. You retain ownership of your User Data and grant BaoBrain a license to use, store, and display it as needed to provide the Services.

7.3 Third-Party Integrations. When you connect Third-Party Services (e.g., Google Analytics), you authorize BaoBrain to access that data on your behalf as described in our Privacy Policy.

8. Intellectual Property

8.1 BaoBrain IP. All content and functionality (including text, graphics, logos, icons, code, and software) are owned by BaoBrain or its licensors and protected by law.

8.2 User Data Rights. You are responsible for User Data you upload or generate and grant us a worldwide, royalty-free license to provide the Services.

9. Disclaimers & Warranties

9.1 No Warranties. The Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind.

9.2 Analytics Accuracy. We can’t guarantee error-free analytics, especially if tracking is implemented incorrectly.

10. Limitation of Liability

To the maximum extent permitted by law, BaoBrain will not be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, data, or goodwill; damages from use or inability to use the Services; or any defect, bug, or delay. Our total liability is limited to the greater of (A) $100 or (B) the amount you paid BaoBrain in the prior twelve months.

11. Indemnity

You agree to indemnify and hold harmless BaoBrain and affiliates from claims, damages, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

12.1 By You. You may terminate your Account at any time via support or account settings.

12.2 By BaoBrain. We may suspend or terminate your Account without notice if you violate these Terms or pose security/legal risk.

12.3 Effects. Upon termination, your access ends immediately. We may delete or de-identify User Data within 30 days unless we’re required to retain it.

13. Governing Law & Dispute Resolution

13.1 Law. Arizona law governs these Terms.

13.2 Venue. Disputes are resolved exclusively in state or federal courts in Maricopa County, Arizona.

14. Service Availability

We don’t guarantee uninterrupted access and may perform maintenance or experience outages.

15. Beta Features

Some features may be beta and subject to change or removal at any time.

16. Changes to Terms

We may modify these Terms. Changes take effect upon posting; we’ll update the “Last updated” date. Continued use constitutes acceptance.
